Pro Agreement

Last updated: October 26, 2026

The short version (not a substitute for the full terms)

  • Joining is free. There is no contract term and no monthly fee. You pay only for leads, and never more than the price limit you set.
  • Customers choose you by name. A request goes only to the pros the customer picks or approves.
  • A lead is a chance at a job, not a job. You pay for leads you accept whether or not you are hired.
  • Direct and related leads: you see the job first and can decline for free.
  • You can ask for a credit within 48 hours on a lead that was not real or not workable.
  • Keep your license, registration, bond and insurance current. We check them with the state.
  • Use customer contact details only for that customer's request. Never for marketing, never sold.
  • Every lead shows its price, its source and whether it is shared before you accept. We never resell leads.
  • Disputes go to arbitration under Washington law, one business at a time, unless you opt out within 30 days. Read section 22.

1. Who this agreement is between

This Pro Agreement ("Agreement") is between Clearlake Holdings LLC, a Washington limited liability company, doing business as infinibell ("we", "us") and the business that signs up as a service provider ("you", "Pro"). It covers your use of infinibell websites, apps, APIs and services (the "Platform"). By creating a pro account and turning on the switch that accepts it, or by using the Platform as a pro, you agree to it. If you accept for a business, you confirm you are authorized to bind that business.

These documents are part of this Agreement: the Community Guidelines, the Privacy Policy, the API Terms (if you use our API or webhooks) and the SMS Terms (if you receive texts from us). If they conflict, this Agreement controls, except that a document written for a specific product controls for that product.

2. What we do and what we do not do

We run a marketplace where customers describe a service they need and choose which pros may contact them. We are not a contractor, employer, agent, broker of your services, general contractor or merchant of record for your work. We do not perform services, supervise your work, set your prices or guarantee your work. Your agreement for a job is between you and the customer only.

3. Independent business

You are an independent business. You decide which jobs to take, set your own prices and schedule, provide your own tools, workers and equipment, and may use any other platform. We do not control how you do your work. Nothing in this Agreement creates employment, partnership, joint venture, franchise or agency.

4. Eligibility and your account

  • You must be at least 18 and a business lawfully able to offer the services you list.
  • Information you give us must be true, complete and kept current: legal business name, any trade name you are entitled to use, owner name, Washington contractor registration number or other required license, UBI, bond and insurance details, services, service area and contact details.
  • One account per business unless we approve more. Keep your login private. You are responsible for activity on your account and your API keys.

5. Verification and badges

  • For trades that require it, we check your Washington L&I contractor registration, bond and insurance with state records before you are listed and on a regular schedule after that. We may also check a trade license (for example a plumbing certificate or electrical contractor license) where the service requires one.
  • Services that require no state license are listed as "License not required for this service". For those services we may require an identity check.
  • Owner background check. If you offer services where you are alone in a customer's home or care for their children, seniors or pets (for example child care, nanny, tutoring, senior care, pet sitting, dog walking, house cleaning and house sitting), the owner named on your business registration must pass a criminal background check before those services are listed. For other services it is optional, and a current passed check adds to your profile score. The check is run by a background screening company only after you sign its separate disclosure and authorization, as required by the Fair Credit Reporting Act, and you pay the screening company's fee to it directly. We receive only whether the check passed, not the report, and we will follow the Act's notice steps before taking adverse action based on a report. A check covers only the owner named, and your profile says so. Checks expire after 24 months.
  • A badge on your profile names exactly what we checked and when. It means only that the check passed at that time. It is not a promise that you are licensed, insured or safe on any later date.
  • What we show publicly. Your profile shows your license or registration type, number, state and expiry date, the date we last checked it and a link to the state's official lookup, your Washington UBI if you have one, whether a bond is on file and its expiry, your liability insurance carrier and expiry date, and whether the owner passed a background check and when. License and registration details are public record. By submitting the others you agree we may show them.
  • You must tell us within 5 business days if any license, registration, bond or insurance lapses, is suspended or changes, or if you or an owner is convicted of a crime involving fraud, theft, violence or sexual misconduct. We may pause your listing until we can recheck.
  • You may not claim any credential, badge, rating or status on the Platform or elsewhere that we did not verify.
  • Your promise about your information. You represent and warrant that every license, registration, bond, insurance, identity and business detail and document you give us is true, current and complete, and that you hold every license the services you list require in each place you work. We and customers rely on it. Our screening does not shift that responsibility to us, and a passed check does not excuse a lapsed or false credential.

6. Washington contractor rules

If you offer construction or trade services in Washington:

  • Keep your L&I contractor registration current (RCW 18.27) and hold every trade certificate or license the work requires (for example RCW 18.106 for plumbing and RCW 19.28 for electrical work).
  • Your registration number appears on your public profile. We treat your profile as your advertising for RCW 18.27.100. Do not describe yourself as "bonded and insured" based only on the state-required bond and insurance.
  • Give customers the "Notice to Customer" disclosure required by RCW 18.27.114 when the law requires it.
  • Any subcontractor you use must be registered, and you are responsible for their work and conduct.
  • If L&I asks us for the name, address and phone number of a business that bought advertising or leads from us, you agree we may provide it.

7. How leads work

  • A customer sends a request for a service in an area and picks pros by name. The number of pros a customer can pick is set by us and may change. You receive the request only if (a) the customer picked you, (b) no pro lists the exact service nearby and the customer sent it to pros who list a related service ("related request"), (c) the customer opted in to have an unanswered request sent to other verified pros, or (d) our team routes it to you by hand.
  • Lead types:
  • Shared lead: sent to you and other pros the customer picked or approved. The lead shows that it is shared before you accept.
  • Direct lead: you are the only pro picked. You see the job first and choose Accept or Decline.
  • Related request: you see the job first and choose Accept or Decline.
  • Contact details are shown after you accept a direct or related lead, or when a shared lead is sent to you, and only in the way the customer chose: phone (name, phone and any email given), email (name and email), or in-app messages (name only).
  • Every lead is labeled before you accept it: direct or shared, and if shared, how many pros received it (never more than 3). Every lead shows where it came from (a request on our site or app, your referral link, or a customer who came through a named referral partner). We never buy leads from third parties and we never resell a lead.
  • Leads are not jobs. The customer may hire someone else or no one. We make no statement about how many leads become jobs, and we do not promise any lead volume. If we ever show a conversion or hire figure, it is measured from Platform data for the period and sample size shown next to it. Not receiving leads is not a breach and does not entitle you to anything.
  • You control your service list, service area, price limit and whether you are paused. You can change them at any time in your account.

8. Lead prices and charges

  • Each lead has a price that depends on the service, the type of lead, the area and current demand. The price of every direct and related lead is shown to you before you accept it. For shared leads, the price for each service and area is published in your account before any lead is sent, and the price shown on the lead is the price charged. You set the most you will pay for one lead ("price limit"). We never charge more than your price limit, and never more than the published maximum for that service and area.
  • When you are charged:
  • Shared lead, direct lead and related request: when you accept. Declining is free. Letting a lead expire is free.
  • Free and discounted leads:
  • A customer who came to us through your own referral link and picks you: free for you.
  • A customer whose contact you already received in the last 90 days: 50% of the normal price.
  • Test leads in test mode: free.
  • Changes to how prices are set apply only to leads sent after the change.
  • All charges appear in your account with the lead they belong to.

9. Billing and payment

  • Pilot period: until we turn on card billing, lead charges are recorded in your account but your balance is not collected, and no card is required. We will give you at least 7 days' notice by email before card billing starts, and the notice will say whether charges recorded during the pilot are waived or due.
  • When card billing is on, you keep a card on file with our payment processor (Stripe). We never see or store your card number. You authorize us to charge that card for lead charges in your account when your balance reaches the amount shown in your Billing tab, or at least once a week, whichever comes first. Your Billing tab shows every charge and a receipt for every card payment. If a charge fails, you stop receiving new leads until a working card is saved, and we may retry the charge. You authorize us to receive updated card details from card networks.
  • Balance limit: when your unpaid balance reaches $200.00 you stop receiving new leads until it is paid. We may change this limit with notice.
  • Late payment: unpaid amounts more than 30 days past due may bear a late charge of 1% per month or the highest lawful rate, whichever is lower. You pay reasonable costs of collecting overdue amounts, including collection agency fees and attorney fees where the law allows.
  • Taxes: lead prices do not include tax. Where the law treats our service as taxable (in Washington, retail sales tax on advertising and online referral services since October 1, 2025), we add the tax at the rate for your business address as a separate line on each charge and remit it. You are responsible for any other tax that applies to your purchase. If you hold a reseller or exemption certificate that applies, give it to us and we will stop collecting from that date.
  • Billing disputes: tell us in writing within 60 days of the invoice date. Undisputed amounts remain due.
  • You may not pass our lead charges on to a customer as a separate fee.

10. Lead credits

  • You may ask for a credit on a paid lead within 48 hours of receiving it, from the lead in your account, with a reason.
  • Reasons we credit: the phone number or email is invalid or belongs to someone else; you could not reach the customer after reasonable attempts by the chosen method; the job is outside the service area you had set; the job is a service you do not offer and did not list; it duplicates a lead you already received for the same job in the last 45 days; or the request is not genuine (spam, test, a competitor, or a sales pitch).
  • Reasons we do not credit: the customer hired someone else, changed plans, was shopping for prices, or did not like your price; you did not contact the customer promptly; or you were too busy.
  • Automatic credits: a lead is credited without review when the phone number fails our verification or is reported as wrong by you within 48 hours and our check agrees, when the customer tells us they never sent the request, or when the same job reaches you twice within 7 days.
  • Your credit rate (credits granted divided by leads charged) is shown in your account so you can judge lead quality for yourself.
  • We decide other credit requests in good faith, usually within 2 business days. An approved credit removes the charge, or if you already paid it, is applied to your next invoice as a refund. Credits have no cash value and end if your account is closed. Repeated or unsupported requests may lead to review of your account.

11. Working with customers

  • Respond promptly and professionally. Contact customers only about their request, only by the method they chose, and only at reasonable hours.
  • Give honest prices and scopes, put the scope and price in writing before you start, and do the work you agree to.
  • Follow all laws that apply to your work, your advertising and your contact with customers, including the Telephone Consumer Protection Act, the Telemarketing Sales Rule, CAN-SPAM, do-not-call rules and the Washington Commercial Electronic Mail Act (RCW 19.190). A customer's request is consent only to be contacted about that request. It is not consent to marketing.
  • Contact only customers who picked or approved you, and only about the request they sent you. Never pass a customer's number or email to anyone else, including another business; their consent covers you only.
  • Honor every request to stop contact, including STOP replies and opt-outs we pass to you, immediately.
  • Do not ask a customer to pay you or anyone else for a lead, require off-platform contact in order to receive a quote, or discourage customers from rating you.

12. Messages, calls and recordings

  • Messages in the app are stored. We use them to support you and the customer, measure response times, prevent fraud and enforce this Agreement. If we provide masked phone numbers, calls and texts through them may be recorded and transcribed for the same purposes, and we will say so where required.
  • Messages that try to move a customer off the Platform before you accept a lead may be flagged for review.
  • If we start using automated or AI assistants to message pros or customers, we will disclose it and you can ask for a person.

13. Customer data

  • Customer information you receive ("Lead Data") is confidential. You may use it only to respond to and perform that customer's request, and to keep records the law requires.
  • You may not sell, rent, share or disclose Lead Data, add it to marketing lists, combine it to build profiles, or use it to contact the customer about anything else without the customer's separate consent.
  • Protect Lead Data with reasonable administrative, technical and physical safeguards. Tell us within 48 hours of learning of any unauthorized access to Lead Data. Delete Lead Data when you no longer need it for the request or records, and on our reasonable written request.
  • If you connect your own software through our API, that software provider handles Lead Data for you and you are responsible for it (see the API Terms).

14. Ranking and fairness

Customers see pros ranked by recent performance on the Platform: response time, follow-through on leads, hire rate, ratings from real customers, profile completeness and recent activity. New pros are given a fair chance to be shown. Paying more, or paying for more leads, never changes your position in the ranked list and never changes which reviews are shown. If we ever offer paid placement, it will be labeled "Sponsored" and shown separately from the ranked list. The factors we rank on are published in the Community Guidelines. Pros whose ratings or follow-through fall below our published floor may be shown less or paused.

15. Reviews

Only customers who sent a request through the Platform can rate you. Follow the Community Guidelines and the FTC rule on consumer reviews (16 CFR Part 465): no fake reviews, no reviews from owners, staff or relatives, no paying or rewarding for reviews, no suppressing or threatening reviewers. We may remove reviews that break the rules and record why. We do not hide reviews in a second list, filter them by whether you pay us, or remove a review because you asked. You may reply publicly to a review once, politely. Ratings and reviews on the Platform may not be republished as if they came from another source.

You receive a personal referral link. A customer who comes through it and picks you is a free lead for you. If you share the link publicly, follow the FTC Endorsement Guides. We do not pay commissions for recruiting other pros.

16A. Deals

  • Only you can create a deal on your business. We never create, advertise or honor a discount on your behalf without your agreement. If we ever run a promotion ourselves, we pay for it and the lead says "Promo paid by infinibell" before you accept.
  • You must sign the Deals Agreement in your pro portal before you post a deal, and confirm the deal lead price on each deal.
  • When a customer claims your deal, their request, name, phone, email and service address are sent right away to you only, as an exclusive lead, at the deal lead price shown when you posted or last changed the deal. By posting a deal you accept every claim in advance, and each claim is charged like any other lead.
  • The deal lead price pays for the connection, not a booked job. A customer who claims your deal may still decide not to use it or not to hire you. The fee is owed for every claim and is not refunded or credited because the customer changed their mind, did not book, or hired someone else. Credits are available only where the customer's contact details are wrong or never reach a real person, for a duplicate, or for a fake claim.
  • A deal applies only to a customer who claimed it on the Platform before the job was booked. You owe nothing to a customer who finds the deal afterward.
  • Honor every deal you publish until its end date or until its claim limit is reached, for every customer who claimed it, even if you pause or remove the deal later. Not honoring a published deal is a breach of this Agreement. Repeated or confirmed failures can lead to removal of your deals or your account.
  • Customer details from a claim are for that job and follow-up about it. Marketing to the customer needs their own separate permission.
  • You are responsible for the lawfulness of your deal where you offer it, including price advertising rules such as 16 CFR Part 233 (a "regular" or "was" price must be a price you actually charged for a reasonable period). When you create a deal you confirm this, and you make the offer to the customer, not us.

16B. Our name, review widget and badges in your marketing

You may use the review widget, your referral link and, if you earn it, the Top Pro badge for its year, only as our Marketing and Badge Guidelines (infinibell.com/pros/marketing-guidelines) allow. Top Pro is awarded on our records alone and cannot be bought. You may not say or suggest that we certify, endorse, employ, insure or guarantee you or your work. If we pause or close your account or revoke an award, you will remove the widget and badge from online places within 7 days and from printed items, signs and vehicles within 30 days.

17. Your content

You keep ownership of the content you post (business name, logo, photos, profile text). You give us a non-exclusive, worldwide, royalty-free license to host, display, adapt for display and promote that content on and about the Platform while you are listed and for a reasonable time after to wind down. Photos must show your own real work and must not be AI-generated or taken from others. You confirm you have the rights to everything you post.

18. Remote services

You may offer a service remotely (for example lessons, tutoring or bookkeeping) only if you are approved for that service in person, only in states where you hold any license the service requires there, and only if you can lawfully provide it to customers there. Do not give legal, tax, medical or other regulated advice unless licensed for it. Tell customers before recording any session and follow recording consent laws.

19. Prohibited conduct

You may not: give false information or impersonate anyone; list services you are not licensed or qualified to perform; scrape, copy or resell Platform data; use bots; open multiple accounts to get free or cheaper leads; manipulate rankings or reviews; harass or discriminate against customers; or use the Platform to advertise other lead services, directories or lending.

20. Paying customers back

If we pay a customer because of your work or conduct under any guarantee or settlement we offer, you agree to reimburse us for that amount within 30 days of our notice, after giving you a fair chance to respond.

21. Disclaimers, liability and indemnity

  • The Platform is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and any warranty that leads will result in work or that customer information is accurate.
  • To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits. Our total liability to you for all claims in any 12-month period is limited to the greater of the lead charges you paid us in the 12 months before the claim arose or $100.
  • You will defend, indemnify and hold us and our officers, employees and agents harmless from claims, losses and costs (including reasonable attorney fees) arising from your services, your workers and subcontractors, your contact with customers, your use of Lead Data, your content, any license, registration, bond, insurance or other information you gave us that was false, incomplete or out of date, or your breach of this Agreement or the law.
  • A billing dispute must be raised within 60 days of the invoice (section 9). Other claims are subject to the time limits the law sets.

22. Disputes and arbitration

  • Talk to us first: before starting arbitration or a lawsuit, send a written notice to hello@infinibell.com describing the claim and the relief you want. We will try to resolve it within 60 days.
  • Arbitration: if it is not resolved, either party (you or infinibell) may start binding arbitration with JAMS under its Streamlined Arbitration Rules (or its Comprehensive Rules for claims over $250,000). Washington law governs the arbitration, including the Washington Uniform Arbitration Act (chapter 7.04A RCW), together with the Federal Arbitration Act. Hearings are by video, or in Pierce County, Washington if an in-person hearing is needed.
  • Fees: the arbitration fees and the arbitrator's pay are shared equally between you and infinibell, unless we agree otherwise in writing. Each side pays its own attorney fees unless the law or the arbitrator awards them.
  • Small claims: instead of arbitration, either party (you or infinibell) may file a claim in small claims court.
  • One business at a time: you and infinibell may each bring a claim only for yourselves, not as part of a class action or on behalf of a group. If this is found unenforceable for a claim, that claim goes to court and this arbitration section does not apply to it.
  • Mass filings: if 25 or more similar claims are filed by or with the same counsel, they will be administered in batches under JAMS mass arbitration procedures.
  • Opt-out: you may opt out of this arbitration section by emailing hello@infinibell.com within 30 days after you first accept this Agreement, with your business name and account email.

23. Governing law and venue

Washington law governs this Agreement and any arbitration under it, without regard to conflict-of-law rules. Any matter not arbitrated goes only to the state courts in Pierce County, Washington or the United States District Court for the Western District of Washington, and both parties consent to it.

24. Suspension and termination

  • You may pause or close your account at any time in your account settings. Charges for leads sent before closing remain due.
  • We may pause or end your account, or remove your listing, for false information, lapsed credentials, unpaid balances, review manipulation, misuse of Lead Data, harassment, safety concerns, repeated customer complaints, or breach of this Agreement, and where we reasonably believe it is needed to protect customers or the Platform. Where practical we will tell you why and give you a chance to fix it.
  • Not taking requests: within 24 hours after you pause, close your account, or stop paying, your profile shows "Not taking requests," no request is sent to you or under your name, your contact details are hidden, and the page does not point customers to other pros. Your name, reviews and logo stay visible so your history is not erased; you may ask us to hide the page entirely and we will within 5 business days.
  • After closing, your profile is removed from search within a reasonable time. We keep records as described in the Privacy Policy. Sections 9, 10 (amounts owed), 13, 15, 16A (deals already claimed), 17, 20 to 23 and 26 survive.

25. Changes

We may change this Agreement. We will give you at least 30 days' notice of material changes by email or in your account. Changes apply going forward. If you do not agree, close your account before the change takes effect. Changes to the arbitration section do not apply to disputes we were already notified of.

26. General

This Agreement is the entire agreement about its subject. If any part is unenforceable, the rest remains in effect. Failure to enforce is not a waiver. You may not assign this Agreement without our consent; we may assign it to an affiliate or a successor. Neither party is liable for delays caused by events beyond its reasonable control. Notices to us go to hello@infinibell.com and 522 W Riverside Ave, Suite N, Spokane, WA 99201; notices to you go to your account email. Electronic acceptance and records are valid.
